Christopher J. Burns, who heads up the Estate Planning, Probate and Trust Administration Practice Group, was recently interviewed for an article that appears in Minnesota Lawyer. Entitled "Estate Tax Guessing Game Continues," the article looks at the current state of long-term federal estate tax reform that was last addressed by the Tax Relief Act of 2010. Burns is quoted as saying, "Estate planning, for many people, is the ultimate ‘bucket list’ item that you do once, thinking about your own mortality. You make decisions, and then you’re done with it, at least for a period of time. It can be difficult for attorneys to get clients to think about it on an annual basis. Henson & Efron hosted the Minnesota Chapter of the Association of Corporate Counsel's March 13 Lunch and Learn. Attorneys Scott Hagel and Jennie Clarke spoke on "Beyond Boilerplate: Advanced Supply Contract Negotiations and How Contractual Liability Provisions can Protect your Company." The seminar focused on the fact that most contractual disputes do not place a business at great risk. However, in the face of large claims or catastrophic events, the liability provisions of a contract can have a real and significant impact on the allocation of risk among contracting parties. In the challenging world of in-house counsel where quick turnaround is the norm, these clauses can be viewed as customary or even “boilerplate” and might be accepted without revision or negotiation.
