  • Represented several charitable organizations in formation of an entity, obtaining tax-exempt status and ongoing representation.
  • Represented numerous individuals and entities in various industries in choice of entity, entity formation, employment contracts, and ongoing legal needs.
  • Handled the merger of two major commercial, industrial, and municipal water pump subsidiaries of a Fortune 500 manufacturer.
  • Represented a boat trailer manufacturer in the sale of its assets.
    Negotiated and drafted multi-million dollar supply contracts for a variety products for both customers and suppliers.
  • Represented an international manufacturer of audio/video equipment and components in the sale of its wireless intercom products division and its amateur radio products division in separate transactions.
  • Represented a publicly traded Fortune 500 manufacturer and certain of its foreign subsidiaries, in connection with an $800 million multi-currency revolving credit facility that replaced its previous multi-currency revolving credit facility.
  • Represented a natural gas distributor and its shareholders as counsel and as investment advisor in its sale to an electric utility.
  • Represented the publicly held owner of several Oklahoma grocery stores in the sale of four grocery stores located in Muskogee, Oklahoma.
  • Represented the subsidiary of a publicly held, Fortune 500 manufacturer in the acquisition of the stock of a manufacturer of custom server subracks and chassis. This work involved the drafting and negotiation of a stock purchase agreement and related agreements.
  • Assisted a publicly-held, Fortune 500 client in maintaining up-to-date and appropriate hostile takeover defense mechanisms
  • Working capital credit facilities ranging from $100 thousand to $250 million
    $380 million leveraged lease of manufacturing equipment
  • Acquisition financing consisting of $170 million credit facility and 115 million Deutschmark/Euro-currency credit facility
  • $14.3 million revolving credit facility, term loan and bridge financing for management buyout of manufacturing division
  • Borrower and underwriter representation in connection with Industrial Revenue Bond Projects
  • Representation of lender in providing financing for major league sports franchise
