Litigation attorneys David Bradley Olsen and Court J. Anderson successfully requested, and received, a Temporary Restraining Order (TRO), ruled from the bench, regarding the Constitutionality of a Minnesota statute that was amended at the close of the Special Minnesota Legislative Session this summer. In this case, Henson & Efron represented a number of home health care agencies, employees and people with mental and physical disabilities, challenging the constitutionality of the decision to cut funding to those providing home health care services. As noted in a story on Minnesota Public Radio, a Ramsey County judge issued a TRO to prevent the state from imposing a cut in payments to personal care assistants who provide care for disabled family members. Partner John C. Levy of Minneapolis law firm Henson & Efron, P.A. authored an article titled “Delaware Court’s Decision Could Affect Reverse Triangular Mergers,” published in Minnesota Lawyer. The article features a recent case that addresses anti-assignment clauses in the context of reverse triangular mergers which may portend a major shift in accepted due diligence and third party consent practices for such transactions.
